Working with Industry
The university will partner with you and provide necessary protections when you are sharing your research outside the university.
If you are providing biological and chemical materials to anyone outside UK, you must contact the Intellectual Property Office before any tangible research material leaves the university. Fill out a Material Transfer Agreement and deliver it to A144 ASTeCC Building. In addition, the IP office reviews material transfer agreements for incoming materials.
Before sending information about your invention to anyone outside the university, it is good practice to protect the information and the invention by using a Confidential Disclosure Agreement (CDA). The IP office will execute a CDA on your behalf after you have completed the form, and will ensure that a CDA is also executed by an authorized representative on behalf of the entity (business or university) receiving the information.
Other confidentiality agreements may be appropriate depending on the situation. A One-way Confidentiality Agreement is used when a university employee is discussing his or her confidential information with someone from outside the university and that person will not also be providing confidential information. A Mutual Confidentiality Agreement is used when both parties will be bringing confidential information to a discussion.
There are two University of Kentucky Administrative Regulations that relate to your working relationship with industry; AR II-1.1-1 (pdf) Consulting and Other Overload Employment, and AR II-4.0-4 (pdf) Conflict of Interest/Financial Disclosure Policy–Research.
Your research administration experts are in the Office of Sponsored Projects Administration (OSPA). OSPA administers extramural grants and contracts and is authorized by the University of Kentucky to negotiate and legally accept all sponsored agreements for UK through the University of Kentucky Research Foundation. This includes clinical trial agreements and financial interest disclosures. OSPA also administers the Conflict of Interest policy (AR II-4.0-4).
